Can we do business without all 3 of our board members present?

Question: We have 3 board members, which is the minimum number required by our state. One of our board members needs to take an extended medical leave. With only 2 of our 3 board members available, do we need to wait to do business until they return?

Yes, the board can keep moving forward!

All you need to conduct a meeting and make decisions is a quorum (which means the minimum number of people present to conduct a meeting).  A simple majority is a quorum for conducting a meeting, so if you have 2 out of 3, you can proceed with all meetings and votes. From a practical standpoint, you may want to keep the absent board member updated as the weeks go by so they are up to date and ready to come back.
